Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Governax platform and services, a product of Clouvy Labs, Inc. (“Governax,” “we,” “us,” or “our”). By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Governax platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the platform on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and “you” includes that organisation.

2. Description of Services

Governax keeps a tamper-evident governance ledger of who has access to an organisation’s tools and how that access changes. It connects to tools such as Slack, GitHub, GitLab, Okta, Google Workspace, Microsoft Entra ID, and AWS, records their access and administrative events in a hash-chained ledger, and lets teams request and approve access through Slack. The set of supported tools and features may change over time.

3. Accounts and Organisations

  • You must provide accurate, current, and complete information during registration, including the country your organisation is registered in, which determines your billing currency.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. We recommend enabling two-factor authentication.
  • Each organisation is managed by its owners, who control billing, membership, roles, connected tools, and deletion. You are responsible for who you invite and the roles you give them.
  • You must notify us immediately of any unauthorised use of your account.

4. Connected Tools

When you connect a third-party tool to Governax:

  • You authorise us to read that tool’s membership and audit records using the access you grant, and to store them in your ledger.
  • You confirm that you are authorised to connect the tool and that you have any notices, consents, or other legal basis needed to share the personal data it contains, including data about your employees and contractors.
  • Your use of the tool remains subject to its provider’s own terms. Some connectors depend on features of a particular plan with that provider.
  • We are not responsible for the availability, accuracy, or completeness of data supplied by third-party tools, or for changes they make to their APIs. Events a tool does not report, or reports late, may be missing from or late to your ledger.
  • You can disconnect a tool at any time. Records already in the ledger remain, as described in section 7.

5. Acceptable Use

You agree not to:

  • Use the platform for any unlawful purpose or in violation of applicable laws and regulations.
  • Connect a tool or account you are not authorised to connect.
  • Interfere with, disrupt, or compromise the integrity or security of the platform.
  • Attempt to gain unauthorised access to any part of the platform or related systems, including another organisation’s data.
  • Reverse-engineer, decompile, or disassemble any part of the platform.
  • Use the platform to transmit malware, spam, or other harmful content.
  • Resell, sublicense, or redistribute access to the platform without written consent.

6. Your Data

You retain ownership of all data you submit to the platform or bring into it through connected tools (“Your Data”). You grant Governax a limited licence to process Your Data solely to provide, secure, and support the services. We process Your Data on your behalf, and we will not access, use, or share it except as described in these Terms and our Privacy Policy. We do not sell Your Data or use it for advertising.

7. Governance Ledger

The ledger is designed to be append-only and tamper-evident. You acknowledge that:

  • Records, once written to the ledger, are not edited or deleted individually, including after a tool is disconnected or a member is deactivated.
  • An organisation owner can delete an entity together with its entire ledger history. This is permanent and cannot be undone by us.
  • Governax does not guarantee that the platform will satisfy specific legal or regulatory compliance requirements in your jurisdiction.
  • You are responsible for ensuring that your use of the platform aligns with your organisation’s governance and compliance obligations.

8. Plans, Fees, and Payment

  • Per-entity plans. Governax is priced per entity. Each entity is on its own plan, and each plan has the limits shown on our Pricing page, such as the number of connected tools and recorded access changes per month. A Free plan is available with lower limits.
  • Billing. Paid plans are billed in advance, monthly or yearly, and renew automatically at the end of each period until cancelled. Payments are processed by Razorpay, and by subscribing you authorise recurring charges to your payment method.
  • Currency and taxes. Organisations registered in India are billed in Indian rupees, with GST added at the applicable rate. All other organisations are billed in US dollars. Prices exclude taxes unless stated otherwise, and you are responsible for any taxes that apply to your purchase other than taxes on our income.
  • Founding plan. The Founding plan is limited to a fixed number of places, each held by an organisation. Once claimed by a successful payment, a place stays with your organisation for as long as it keeps at least one Founding subscription. When no Founding subscription remains, the place is released and may not be available again.
  • Cancellation. An organisation owner can cancel an entity’s plan at any time. Cancelling stops the next renewal; the entity keeps its plan until the end of the period already paid for, then moves to the Free plan’s limits.
  • No refunds. Fees are non-refundable, including for partial periods, unused entities, or downgrades, except where required by law.
  • Failed payments. If a renewal payment fails and is not resolved, the entity moves to the Free plan’s limits once its paid period ends.
  • Price changes. We may change prices for future billing periods. We will give at least 30 days’ notice before a change applies to an existing subscription.

9. Intellectual Property

The platform, including its design, source code, documentation, and trademarks, is the intellectual property of Clouvy Labs, Inc. These Terms do not grant you any rights to our intellectual property except the limited right to use the platform in accordance with these Terms.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may temporarily suspend the platform for maintenance, updates, or security purposes, and we will provide reasonable notice when possible. Ingestion from connected tools also depends on those tools being available.

11. Limitation of Liability

To the maximum extent permitted by law, Governax shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the platform.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to Governax in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold Governax harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the platform, your violation of these Terms, your connection of a tool you were not authorised to connect, or your infringement of any third-party rights.

13. Suspension and Termination

You may stop using the platform at any time by cancelling your paid plans. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the platform in a way that creates risk for us or other customers. Suspension does not by itself cancel a paid subscription. Upon termination, your right to access the platform ceases. We will provide a reasonable period for you to export Your Data upon request.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Governax is incorporated, without regard to conflict of law principles.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on our website at least 30 days before they take effect. Continued use of the platform after changes take effect constitutes acceptance.
