These Terms of Service (“Terms”) govern your access to and use of the Governax platform and services provided by Governax (“Governax,” “we,” “us,” or “our”). By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Governax platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the platform on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Services

Governax provides governance infrastructure for organisational decisions, including but not limited to authority modelling, policy evaluation, approval workflow routing, and decision ledger recording. The platform is designed to support structured decision-making processes within organisations.

3. Account Registration

  • You must provide accurate, current, and complete information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorised use of your account.

4. Acceptable Use

You agree not to:

  • Use the platform for any unlawful purpose or in violation of applicable laws and regulations.
  • Interfere with, disrupt, or compromise the integrity or security of the platform.
  • Attempt to gain unauthorised access to any part of the platform or related systems.
  • Reverse-engineer, decompile, or disassemble any part of the platform.
  • Use the platform to transmit malware, spam, or other harmful content.
  • Resell, sublicense, or redistribute access to the platform without written consent.

5. Your Data

You retain ownership of all data you submit to the platform (“Your Data”). By using the platform, you grant Governax a limited licence to process Your Data solely to provide and improve the services. We will not access, use, or share Your Data except as described in these Terms and our Privacy Policy.

6. Decision Ledger and Records

Governance records created within the platform are designed to be immutable and verifiable. You acknowledge that:

  • Decision records, once committed to the ledger, are intended to be permanent and tamper-evident.
  • Governax does not guarantee that the platform will satisfy specific legal or regulatory compliance requirements in your jurisdiction.
  • You are responsible for ensuring that your use of the platform aligns with your organisation’s governance and compliance obligations.

7. AI-Assisted Features

Certain features of the platform use artificial intelligence to provide suggestions, analysis, and guidance. You acknowledge that:

  • AI outputs are advisory and do not replace human judgement.
  • Governance outcomes are determined by deterministic policy rules, not AI recommendations.
  • You are responsible for reviewing and validating any AI-assisted outputs before relying on them.

8. Intellectual Property

The platform, including its design, source code, documentation, and trademarks, is the intellectual property of Governax. These Terms do not grant you any rights to our intellectual property except the limited right to use the platform in accordance with these Terms.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may temporarily suspend the platform for maintenance, updates, or security purposes. We will provide reasonable notice when possible.

10. Limitation of Liability

To the maximum extent permitted by law, Governax shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the platform.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to Governax in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold Governax harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the platform, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access if you breach these Terms. Upon termination, your right to access the platform ceases immediately. We will provide a reasonable period for you to export Your Data upon request.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Governax is incorporated, without regard to conflict of law principles.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on our website at least 30 days before they take effect. Continued use of the platform after changes constitutes acceptance.
